Terms of Use
Subnivo is preparing for public launch. These terms apply in full to your use of Subnivo today. They are under review by Nigerian counsel; if anything changes we will publish it here as a new version with its own effective date, and we will not alter a version you have already accepted.
1. About these terms
These terms are an agreement between you and Subnivo ("Subnivo", "we", "us"), covering the Subnivo websites, the Subnivo web and mobile applications, and everything you do through them. By creating an account or using Subnivo you accept these terms. If you do not accept them, do not use Subnivo.
Some parts apply only to members: people who join a paid or free community. Others apply only to creators: people and businesses who run one. Where a section is specific to one of those roles, it says so. If you do both, both apply to you.
Separate documents cover privacy and how your data is handled. Read them alongside these terms: Privacy Policy.
2. Words we use
- Hub: a creator's community on Subnivo, together with the membership page people join through.
- Business: the account that owns one or more Hubs, and the identity money settles to.
- Plan: a membership tier inside a Hub.
- Price: a specific amount and billing cadence attached to a plan.
- Member: someone who has joined a Hub.
- Entitlement: the record that says a member currently has access to a Hub, and on what basis. Access follows the entitlement, not the payment directly.
3. Your account
You must be at least 18 years old and able to enter a binding contract to use Subnivo. You need to give accurate information, keep it current, and keep your credentials and any two-factor method secure. You are responsible for what happens under your account.
Every account has a public username, which is separate from your display name and from your email address. Your email address stays private and is not shown to other members.
Tell us promptly at support@subnivo.com if you think someone else has used your account.
4. What Subnivo is, and is not
Subnivo provides software: it hosts communities, publishes membership pages, collects recurring payments through a payment provider, keeps the record of who currently has access, and grants and removes that access across Subnivo and connected platforms.
Subnivo is not:
- The creator. What a Hub offers, what it delivers, and how its community behaves is the creator's responsibility, not ours. We are not a party to the arrangement between a creator and their members, except as the operator of the platform and as described in these terms.
- A marketplace. Subnivo does not list, rank, recommend or promote Hubs, and there is no discovery feed. Members reach a Hub through a creator's own link or an invitation.
- A bank or a wallet. Subnivo does not hold creator balances. Payments are split at the payment provider and settle directly to the creator's own bank account.
Payments are processed by Paystack. Card details are entered with Paystack and Subnivo never receives full card numbers. Paystack's own terms apply to the payment itself, in addition to these.
All amounts on Subnivo are in Nigerian naira (NGN). No other currency is supported.
5. If you join a membership
5.1 What you see before you pay
Before you are asked for payment, the checkout shows you the creator and Hub, the plan, the total amount in naira, the billing cadence, any trial terms, when the membership renews, what happens if you cancel, the refund and cancellation policy that applies, and links to the exact versions of these terms and the Privacy Policy. The policy text you were shown is stored with your checkout, so it cannot be changed retroactively.
5.2 Recurring payments
A paid membership renews automatically until it is cancelled or it ends. You give consent to recurring charges as a separate, specific acknowledgement at checkout, never bundled into your acceptance of these terms. That consent authorises Subnivo, through Paystack, to charge your saved payment method the displayed amount on the displayed cadence.
5.3 The price you join on
A price already in use cannot be edited. A creator may publish a new price for new members, but the price you joined on stays yours for as long as your membership remains continuous. If you cancel and rejoin later, or your membership lapses and you start again, you join on whatever price is then current.
5.4 Renewals, failed payments and grace
If a renewal payment fails, the membership becomes past due. Subnivo retries the charge once a day across a grace window set by the creator, three days by default and up to fourteen. The creator also decides whether access continues during that window or stops at the end of the period you actually paid for. If no payment succeeds by the end of the window, the membership expires and access is removed.
5.5 Cancelling
You can cancel a renewal at any time from your own billing page. The cancellation policy that applies is version 2026-07-23:
"You may cancel renewal at any time. Ordinary cancellation takes effect at the end of the current paid period, keeps access until that date, and prevents the next charge. A completed cancellation does not refund the current period unless the separate refund policy applies."
5.6 Refunds
The refund policy that applies is version 2026-07-18:
"Full refunds may be requested within 14 days of payment; verified duplicate charges remain eligible. An accepted full refund stops renewal and suspends access while processing. Failed refunds restore only the remaining paid period. Partial refunds are reviewed by Subnivo and retain access."
Refund requests identify the invoice and the reason, and are reviewed rather than granted automatically. A review considers how much has already been refunded, evidence of a duplicate charge, whether access was actually delivered, the state at the payment provider, and any rights you have that cannot be signed away.
Approval is not the same as completion. A refund stays visible as in progress until Paystack reaches a final result. Nothing in this section limits rights you have under Nigerian consumer law.
5.7 How access actually works
Access is granted only when the payment provider confirms a payment. Returning to a success page in your browser is not proof of payment, and access may take a moment to appear while confirmation arrives. Access is then held as an entitlement, and everything else follows from it: your Subnivo channels, a Discord role, a Telegram seat.
A creator may also grant access without payment, for a fixed period or indefinitely. That access can be withdrawn by the creator at any time.
6. If you run a membership
6.1 Eligibility and verification
To run a Hub you confirm that you can lawfully contract and operate in Nigeria, and that you own or are authorised to offer the content and community you are charging for.
Running a free Hub requires no verification. Creating anything with a price on it does: identity verification for an individual, or business verification for a registered company, reviewed by Subnivo staff, plus an active payment-provider subaccount. Verification happens before a paid plan or price exists, not after. If verification is later withdrawn, you keep the prices you already created and existing memberships continue, but you cannot enrol new paid members.
6.2 What you are responsible for
- Describing your offering and its recurring terms truthfully, including what a member actually gets and how often they will be charged.
- Delivering it, and supporting your members.
- Your community's conduct, and moderating it.
- Cooperating with verification, refund, dispute, safety, tax and legal requests.
- Following these terms, the prohibited-use rules in section 7.2, and the rules of every provider in the chain, including Paystack, Discord and Telegram.
6.3 The split, fees and settlement
You receive 90% of the gross amount of each payment. Subnivo receives 10%. The payment processing fee is paid by Subnivo out of its own share and is never deducted from yours, so the split you are shown is the split you receive.
Settlement goes directly to your own bank account through your payment provider subaccount, at the same time as Subnivo's share. Subnivo does not hold your funds, and there is no withdrawal step. Timing and any variance in settlement are determined by the payment provider and your bank, not by Subnivo.
6.4 Risk controls
Because refunds and disputes are settled against money that has already reached you, Subnivo applies risk limits. We may pause new paid enrolment on a Hub or Business, require review before a large refund, or restrict a Hub, where there is a significant unresolved refund or dispute exposure, a pattern of lost disputes, illegality, a provider requirement, or a breach of these terms. Where our policy allows an appeal, you will be told how to make one.
6.5 Taxes
You are responsible for determining, charging and remitting any tax due on what you sell, and for your own tax filings. Subnivo does not calculate or collect tax on your behalf. Subnivo's 10% share is consideration for the platform service provided to you.
7. Content and conduct
7.1 Your content
You keep ownership of what you post: messages, attachments, Hub branding, plan descriptions and everything else. You give Subnivo the permission it needs to operate the service: to store, copy, transmit, display and adapt your content for the purpose of hosting it, delivering it to the people entitled to see it, backing it up, and keeping it safe. That permission lasts as long as we host the content and no longer, except where we must retain something for a legal reason.
You confirm you have the rights to everything you upload, and that it does not infringe anyone else's.
7.2 Prohibited use
Three sets of rules apply at once. You may not use Subnivo for:
- Anything unlawful: fraud, scams, deception, sanctions evasion, illegal goods or services, exploitation, sexual exploitation or any child abuse material, terrorism, credible threats or incitement of violence, non-consensual intimate content, harassment or doxxing, impersonation, intellectual-property infringement, malware, phishing or credential theft, unauthorised access or scraping, or evasion of platform controls.
- Anything prohibited by a provider in the chain: including the acceptable-use rules of Paystack, Cloudflare, Discord and Telegram. Their restrictions apply to you through us.
- Anything Subnivo excludes on risk grounds: adult sexual content, gambling, unlicensed investment or lending services, pyramid schemes, deceptive make-money programmes, controlled substances, weapons, counterfeit goods, communities organised around harassment, and offerings likely to generate severe refund or dispute levels.
Categories that are ambiguous or high-risk are unavailable by default rather than allowed until challenged.
7.3 Moderation and enforcement
Creators moderate their own Hubs and can time out, remove or ban members, hide or delete messages, and set who may read, post and moderate in each channel. A moderator can never act against someone at or above their own level.
Members can report a message. Uploaded files are scanned before anyone else can open them.
Subnivo may also act directly. Where these terms, the prohibited-use rules or the law require it, we may remove content, restrict a Hub or an account, pause paid enrolment, revoke access on connected platforms, preserve evidence, and report to authorities where we are legally required to. Serious safety matters can be acted on immediately.
7.4 Appeals
If we restrict your account, your Hub or your content, you can ask us to look again by writing to support@subnivo.com. Say what was restricted and why you think the decision was wrong. We will tell you the outcome. Some restrictions required by law or by a provider cannot be lifted by us.
8. Connected Discord and Telegram
If you link a Discord or Telegram account, Subnivo grants and removes access there on the basis of your entitlement. Those platforms are operated by other companies under their own terms and privacy policies, and Subnivo does not control them. If a platform is unavailable, changes its rules, or removes our access, the access it provides may be delayed or stop.
The two platforms behave differently on the way out. Discord supports roles, so a creator can choose whether ending a membership removes roles, removes the member, or leaves them in place. Telegram has no roles, so removing access means removing the member from the group.
Unlinking an account, or losing access to it, may stop membership access that depends on it.
9. Availability and changes
Subnivo is provided as it is at the time you use it. We work to keep it available and reliable, but we do not promise uninterrupted or error-free service, and we may carry out maintenance.
Subnivo is a new and actively developing service. Features may be added, changed or withdrawn. Where a change materially reduces something you are paying for, we will give notice through the service or by email.
10. Intellectual property
Subnivo owns the platform, its software, and the Subnivo name, wordmark and brand. Nothing in these terms transfers any of it to you, and you may not copy the platform or use our brand without written permission. Creator and member content stays with whoever created it.
11. Suspension and termination
You can stop using Subnivo at any time and close your account. Closing it does not automatically refund a membership you have paid for; the refund policy in section 5.6 applies.
We may suspend or close an account, or restrict a Hub, where there is a breach of these terms, a legal or provider requirement, a risk to other users, or serious safety concern. Where we can give notice first, we will.
Some obligations continue after termination: payment obligations already incurred, our record-keeping duties, and the disclaimers and limits in section 12.
12. Disclaimers and limits
Subnivo does not endorse or guarantee any Hub, creator, community or offering, and does not promise that a creator will deliver what they said. Disputes about what a membership actually provided are between the member and the creator; we will help where we can, and we act on prohibited use and safety.
To the fullest extent Nigerian law permits, Subnivo is not liable for indirect or consequential loss, loss of profit, loss of goodwill, or loss of data. Where liability cannot be excluded, our total liability for any claim is limited to the greater of the amounts you paid to Subnivo in the three months before the claim arose, or NGN 50,000.
Nothing here excludes liability that cannot lawfully be excluded, including for fraud, or your rights as a consumer under Nigerian law.
If you are a creator, you agree to cover Subnivo's losses arising from your offering, your content, your community, or your breach of these terms, including third-party claims about them.
13. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. Disputes are subject to the courts of Lagos State, Nigeria. If you are a consumer, this does not remove any right you have to bring a claim where you live, or to use a consumer redress channel available to you.
14. Changes to these terms
We may update these terms. Every version has its own version number and effective date, and we do not alter a version that someone has already accepted. For material changes we will give notice through the service or by email before the new version takes effect. Continuing to use Subnivo after that date means you accept the new version.
